Buy-Side Advisory

Advisory for owners on the other side of the same story — the next generation acquiring, and building on, a founder-led business.

Talentum was built to help owners create value, transferability, and options as they build or exit a business. That same judgment applies in reverse: to the next owner who is acquiring one.

This is the succession thesis completed, not a second business. The generation building and exiting a business, and the generation acquiring and growing it, are often solving versions of the same problem from opposite sides of the table.

The buyer's blind spot

Most first-time buyers overpay for owner dependence.

In practice, the seller is often a meaningful part of what makes the business work — and a meaningful part of what walks out the door at close. A price built on last year's numbers can understate how much of the business's performance depended on one person who is about to leave.

The same diligence discipline Talentum brings to strengthening a seller's business — reducing dependency, understanding what value is real and transferable — runs in reverse as a buyer's diligence edge.

Scope and fit

What this work covers

  • Target evaluation and a valuation sanity check independent of the deal's own momentum.
  • Coordinating quality-of-earnings work with your accountants.
  • Owner-dependence diligence: what part of the business's performance actually leaves with the seller.
  • Deal-structure advisory, coordinated with your lenders and counsel.
  • Post-close value acceleration in the first 100 days — the same discipline Talentum brings to owners, applied to what you just bought.

Where this is not the right fit

Talentum is unlikely to be the right fit when:

  • You want deal sourcing or brokerage — Talentum advises on a target you have already identified or are evaluating; it does not find or broker deals. It may help with connections in that general direction, but won't promise sourcing.
  • You want confirmation of a decision already made rather than an independent test of the target, the price, and the risks.
  • There is not enough willingness or capacity to share the diligence information the work requires.
  • The need is limited to legal document drafting or financing arrangement alone, without broader strategic or ownership-readiness judgment.
Conflict of interest

A conflict-of-interest boundary we hold firmly

Talentum does not represent a buyer and a seller on opposite sides of the same transaction. Buy-side and sell-side engagements are always independent of one another, and any potential conflict is identified and declined — not managed through disclosure alone.

Evidence, not adjectives

Rafael Pinho, CFA, brings institutional financial-analysis and investment experience to buy-side evaluation, alongside the same owner-dependence and transferability judgment Talentum applies from the seller's side.
